THIS CAREDGE SERVICES AGREEMENT (the "Agreement") made and effective as of September 15, 2024, by and between, the "Customer" and Auto Advocate Inc., a Delaware Corporation, with an address of 5268 Nicholson Ln Suite G 176 Kensington, MD 20895 hereinafter referred to as "CarEdge".
WHEREAS CarEdge offers car buying services, which will be provided to the Customer by a CarEdge representative (the “Broker”).
NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:
- Acknowledgment of Role: The Customer acknowledges that Broker’s role is solely to assist in the identification and negotiation of potential vehicle purchases. Broker does not inspect, repair, certify, or guarantee the quality, safety, or functionality of any vehicle, nor does Broker provide any warranties, whether express or implied.
- Release and Waiver: The Customer, for themselves, their successors, heirs, assigns, executors, administrators, and any other persons or entities who could bring a claim on their behalf, does hereby release, acquit, and forever discharge CarEdge, their officers, directors, agents, employees, and successors from any and all liabilities, claims, demands, actions, causes of action, costs, and expenses, whether at law or in equity, whether known or unknown, arising out of or related to any defects, latent or apparent, in any vehicle that The Customer may purchase with the Brokers’ assistance.
- Indemnification: The Customer agrees to indemnify, defend, and hold harmless the Broker and CarEdge, their officers, directors, agents, and employees from and against all losses, liabilities, expenses, claims, damages, and costs, including reasonable attorney's fees, arising out of or related to any claim or action concerning the mechanical condition or any other aspect of any vehicle purchased with the Broker’s assistance, and as pertains to government regulated Department of Motor Vehicle (“DMV”) fees. The Customer acknowledges that the dealer is solely responsible for providing accurate and up-to-date information regarding sales taxes and DMV fees, for any and all states, and the Broker and CarEdge shall be indemnified and held harmless from any liability or claims arising from any discrepancies.
- Payment Terms: CarEdge accepts credit cards as a secure form of payment through Stripe, including Visa, Mastercard, American Express, and Discover.
- Full Payment: Payment of $999 is due upfront to initiate services
- Cancellation Policy:
- Cancellation Within 24 Hours of Initiating Service: If you cancel your service within 24 hours of initiating it but prior to a concierge being assigned, a $99.00 cancellation fee will be assessed.
- Cancellation After Concierge Assignment but Before Vehicle Approval: If a concierge has been assigned to your case but no vehicle has been approved, a $299.00 cancellation fee will be assessed.
- Cancellation After Vehicle Approval: If there is any cancellation after the vehicle has been approved, the $999 payment is retained by CarEdge for services provided.
- Scope of Services: If both parties agree to move forward to providing the Customer with the Broker services, the Broker will locate a vehicle agreeable to the Customer, negotiate the purchase, and arrange for the Customer and the dealer to connect to arrange an agreeable delivery date and time. Please note that in some cases, especially for long-distance purchases, there may be travel or additional shipping costs involved. These costs will be paid by the Customer. If, at any time throughout the broker service, the Customer changes the agreed-upon vehicle of choice, the initial payment of $999 shall be retained as earned compensation by CarEdge, and an additional $500 is required to restart the car buying process as to the new vehicle selected by the Customer. Failure to secure financing or accept the finance offer will result in a forfeiture of deposit paid.
- Client Responsibilities:
- Accurate Information: The Customer should provide accurate and up-to-date information about the Customer’s expectations, preferences, requirements, and any specific details related to the desired vehicle.
- Cooperation in Negotiations: The Customer should be available for communication and be willing to cooperate during the negotiation process with dealerships.
- Timely Responses: Timely responses to inquiries or requests for additional information can help streamline the process.
- Verification of Vehicle Details: The Customer should carefully review all details provided about potential vehicles to ensure accuracy.
- Compliance with Legal Requirements: The Customer should ensure that they meet all legal requirements for purchasing or leasing a vehicle, including licensing and insurance.
- Final Approval of Deal: The Customer will have the final say on whether to proceed with a deal negotiated by the Broker.
- Non-Payment Liability and Damages: If the Customer fails to make the final payment as outlined in the Agreement after the vehicle has been delivered, CarEdge reserves the right to pursue all available legal avenues to recover the outstanding balance. This may include, but is not limited to, seeking compensation for the full purchase amount and any associated costs incurred due to the non-payment. CarEdge may report non-payment incidents to relevant credit bureaus which may impact the Customer's credit score.
- Dispute Resolution:
- Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of Delaware, USA.
- Venue: The parties agree that any disputes arising out of or relating to this Agreement shall be filed exclusively in the state courts located in the State of Delaware, and the parties consent to the personal jurisdiction of those courts and waive any objections as to venue or inconvenient forum in such courts.
- Dispute Resolution: CarEdge shall endeavor to resolve any disputes amicably and in good faith. If the parties are unable to resolve a dispute through negotiation, either party may initiate legal proceedings in accordance with this clause.
- Attorney Fees and Costs: In the event that legal action is required to enforce any of this Agreement, the prevailing party in any such action shall be entitled to recover reasonable attorney fees and costs.
